PURPOSE

• Manage SJ group legal services at CA and CAU region.
• Performing Functional Management for the group’s Commercial and Legal services
• Manage the provision of Corporate Governance services in the region.
• Handle disputes and litigations of the Countries in the region, diligently to secure SJ Interest.
• Drafting and negotiation of contracts and other required legal documents, Contract reviews and contract negotiations with client and third parties to secure SJ Group’s interest, conduct with utmost integrity and always uphold the core values of the SJ Group

KEY RESPONSIBILITIES

• Provide legal support to all business lines in the organization.
• Review tender and bid documents to ascertain the risks and advice mitigation to the business based on the company’s policy and procedures. Always abide by the Risk and compliance parameters as communicated by the company and the Legal Department.
• Negotiate Contractual terms to always safeguard the interest of SJ.
• Attend all Litigation matters of the company in a diligent and cost-effective manner and minimize risk exposure to the company.
• Coordinate with external counsels as and when advised / required - Manage and oversee the company' s litigation, including coordinating with external legal counsels and internal stakeholders.
• Conduct legal research to support legal teams and for litigation strategies and ensure compliance with applicable laws and regulations.
• Review and discuss with Director Legal of the Region, the commercial risk management framework and procedures for efficiency and effectiveness, while ensuring they reflect SJ’s chosen risk profile and industry best practice.
• Provide overall legal services support framework (leases, contracts, tender queries, client negotiations (as required) on legal and commercial aspects to ensure transparency, professionalism, and high standard of service.
• Develop and implement an audit, implementation improvement, feedback, and training program for commercial and legal services in the region.
• Coordinate with Group Insurance and Litigation teams in respect of any technical, legal, liability or risk allocation which may impact on SJs insurance regime and provide legal advice and support when required.
• Complete the MIS and monthly/quarterly reports related to Legal function in the region. Review and refine this report on a continuing basis to communicate effectively and efficiently commercial risk of the business to the stakeholders as advised. Prepare presentations for Legal function as and when required/advised.
• Ensure that commercial tools and training are available to all staff involved in developing proposals, contract negotiations and project management.

QUALIFICATIONS, SKILLS AND EXPERIENCE REQUIRED

• Bachelor’s or master’s degree in law (LLB/LLM) from a reputed university (MANDATORY) with a PQE of minimum12+ years
• Bachelor / master’s degree in business administration, Engineering (desirable)
• Sound understanding of risk management and project management.
• Good exposure in drafting and negotiating Infrastructure projects, engineering and design consultancy contracts and construction contracts.
• Experience of working on contracts under FIDIC and IFI funded for infrastructure, design, architecture, project management, engineering and consultancy contracts.
• Should have handled commercial Litigations and Arbitration
• Experience in overseeing end-to-end contract lifecycle, including drafting, reviewing, and negotiating a variety of engineering contracts, vendor agreements, service contracts, consultancy agreements and licensing agreements.
• Excellent organisational and interpersonal skills
• Ability to work independently and as part of the team.
• Good communication skills-
• Languages - Written and Spoken- English and Russian
